The TSX Venture Exchange has consented to the reduction in the exercise price of the warrants.

Expiry date of warrants:  Dec. 1, 2024 (unchanged)

Forced exercise provision:  If the closing price for the company's shares is 7.5 cents or greater for a period of 10 consecutive trading days, then the warrant holders will have 30 days to exercise their warrants from the date starting seven days after the 10th consecutive trading day; otherwise the warrants will expire on the 31st day.

Original exercise price of warrants:  15 cents

New exercise price of warrants:  six cents

These warrants were issued pursuant to a private placement of 14,754,546 shares with 7,377,273 share purchase warrants attached, which was accepted for filing by the exchange effective Dec. 7, 2022. Please note the exchange has been notified, that due to rounding, the actual number of warrants should have been 7,377,274.
