BRIGADIER ANNOUNCES SHARE CONSOLIDATION AND NAME CHANGE

Brigadier Gold Ltd. will change its name from Brigadier Gold to Pace Metals Ltd. and the company will consolidate its existing common shares on a 30-for-one basis.

The company expects that the common shares will begin trading under the new name and on a postconsolidation basis on the TSX Venture Exchange under the symbol PACE on May 23, 2024. The new CUSIP number will be 69381B109 and the new ISIN will be CA69381B1094.

The company currently has 127,764,202 common shares issued and outstanding. Following the share consolidation, the company will have approximately 4,258,807 common shares issued and outstanding prior to rounding for fractional shares.

Upon completion of the share consolidation and name change, a letter of transmittal will be sent by mail to registered shareholders advising that the share consolidation and name change have taken effect. The letter of transmittal will contain instructions on how registered shareholders can exchange their share certificates or DRS (direct registration statement) evidencing their preconsolidated common shares for new share certificates or new DRS representing the number of postconsolidated common shares to which they are entitled. No action is required by non-registered shareholders (shareholders who hold their shares through an intermediary) to effect the share consolidation and name change.

The share consolidation and name change was approved by the board of directors of the company, the shareholders of the company and by the TSX Venture Exchange.
