BALLARD CLOSES US$550 MILLION BOUGHT DEAL OFFERING OF COMMON SHARES
Ballard Power Systems Inc. has closed the previously announced bought deal offering of 14.87 million common shares of the company at a price of $37 (U.S.) per common share for gross proceeds of $550.19-million (U.S.).
TD Securities Inc. and National Bank Financial Inc. acted as joint bookrunners for the offering on behalf of a syndicate of underwriters that includes BMO Nesbitt Burns Inc., CIBC World Markets Inc., Raymond James Ltd. and Cormark Securities Inc.
The underwriters have an option, exercisable for a period of 30 days after the closing date of the offering, to purchase up to an additional 2,230,500 common shares at the offering price to cover overallotments, if any, and for market stabilization purposes. The exercise of the overallotment option may result in additional gross proceeds of up to $82,528,500 (U.S.).
The common shares were offered by way of a short form prospectus filed in all of the provinces of Canada, excluding Quebec, and were offered in the United States, pursuant to a registration statement on Form F-10 filed under the Canada/United States multijurisdictional disclosure system, and on a private placement basis in certain jurisdictions outside of Canada and the United States, pursuant to applicable prospectus exemptions.
