BLENDER BITES LIMITED ANNOUNCES DELAY OF FILINGS

Blender Bites Ltd. anticipates a delay in filing its financial statements for the period ended Oct. 31, 2024, the related management's discussion and analysis, and chief executive officer and chief financial officer certifications, which are required to be filed on or before Feb. 28, 2025. The expected delay in filing the required filings is due to the company's former auditor, GreenGrowth CPAs, resigning as the auditor of the company on its own initiative on July 10, 2024, and the company's new auditor not being appointed until Oct. 31, 2024, as well as the resignation of the company's former CFO on Feb. 13, 2025.

Accordingly, the company has applied to the B.C. Securities Commission, the company's principal securities regulator in Canada, for the issuance of a management cease trade order under the provisions of National Policy 12-203 (Management Cease Trade Orders) to be granted in connection with the late filing of the required filings, so as to permit the continued trading in the company's common shares by persons other than the company's chief executive officer, interim chief financial officer, and such other directors, officers and persons as determined by the applicable regulatory authorities. There is no guarantee that an MCTO will be granted. However, if an MCTO is granted, the company expects to file the annual filings on or before April 28, 2025.

The company confirms that it intends to satisfy the provisions of the alternative information guidelines described in Section 10 of NP 12-203 and issue biweekly default status reports for so long as it remains in default of the requirement to file the required filings. The company has not taken any steps toward any insolvency proceeding, and the company has no material information to release to the public. The company has made the foregoing representations in accordance with the requirements of applicable securities laws.
