AGEREH TECHNOLOGIES ANNOUNCES SHARES FOR DEBT SETTLEMENTS
Agereh Technologies Inc. has entered into debt settlement agreements with certain service providers of the company to settle an aggregate of $393,540 outstanding debt through the issuance of 1,574,158 common shares of the company at a deemed price of 25 cents per settlement share. The debt settlement agreements are subject to the approval of the TSX Venture Exchange, and, upon issuance, the settlement shares will be subject to a four-month hold period.
The company's board of directors has determined that it is in the best interests of the company to settle the outstanding debt through the issuance of common shares to preserve the company's cash for continuing operations.
Pursuant to the proposed shares-for-debt transaction, 18,000 settlement shares are to be issued to a related party of the company. The issuance of the settlement shares to the related party will be considered a related-party transaction within the meaning of Multilateral Instrument 61-101 (Protection of Minority Security Holders in Special Transactions). The company expects that such issuance of securities to the related party will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 pursuant to sections 5.5(a) and 5.7(1)(a) thereof, as the company is listed on the TSX Venture Exchange and the expected fair market value of the securities being issued to related parties does not exceed 25 per cent of the company's market capitalization.
