CARBEEZA ANNOUNCES TSXV FINAL ACCEPTANCE ON PRIOR PLACEMENTS

Further to Carbeeza Inc.'s news releases of July 30, 2024, and Sept. 24, 2024, it has received final acceptance from the TSX Venture Exchange in regard to a private placements originally closed on July 29, 2024, and Sept. 26, 2024, respectively.

On July 29, 2024, the company sold a total of 700,000 units for gross proceeds of $70,000. Each unit sold consists of one common share and one full common share purchase warrant exercisable for a period of 18 months from the closing date at a price of 20 cents per warrant.

On Sept. 26, 2024, the company issued 12-per-cent convertible unsecured debentures for gross aggregate proceeds of $300,000. The debentures were issued at a price of $1,000 per debenture and bear interest at a rate of 12 per cent per annum, payable in arrears on the maturity date. The debentures mature on Sept. 26, 2026. The debentures are convertible at any time prior to maturity at the option of the holders into units of the company at a conversion price of 10 cents per conversion unit. The units will consist of one common share and one full common share purchase warrant exercisable for a period of 24 months from the closing date at a price of 20 cents per conversion warrant.

There were no finders' fees payable in connection with the issuance of the units or debenture.
