Further to the convertible debt issued pursuant to a private placement of the credit agreement dated June 16, 2023, originally accepted by the Toronto Stock Exchange effective July 20, 2023, and various amendments accepted by the TSX in 2024 and 2025, the exchange has consented to a new replacement of the original convertible debenture. The company is not receiving any new additional funds.

Conversion price:  The conversion price is: (i) as it relates to 50 per cetn of the conversion amount (not factoring in any interest conversion after Dec. 30, 2025), $1 (Canadian); and (ii) as it relates to the remaining 50-per-cent balance of the conversion amount, $2 (Canadian) (not factoring in any interest conversion after Dec. 30, 2025) (new).

Original maturity date:  Dec. 19, 2025

Replacement maturity date:  Dec. 30, 2028, for convertible debenture (new)
