The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 21, 2024.

Number of shares:  27,777,776 shares

Purchase price:  18 cents per share

Warrants:  13,888,886 share purchase warrants to purchase 13,888,886 shares

Warrant exercise price:  30 cents for a three-year period

Number of placees:  70 placees

Total existing insider involvement:  12,627,828 (two insiders)

Finder's fee:  $70,100.60 cash and 382,843 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 30 cents for period of three years from the date of issuance.

The company issued a news release on April 12, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
