As of the Closing Date, Mr. Garcia held 12.00% of the issued and outstanding Common Shares on non a-diluted basis and 13.56% of the Common Shares on a partially diluted basis. Prior to the Business Combination, Mr. Garcia owned and controlled no securities of the Company. After the Business Combination, Mr. Garcia owns and controls 13,385,128 Common Shares and Options entitling him to acquire 2,000,000 Common Shares, representing 12.00% of the issued and outstanding Common Shares on a non-diluted basis and 13.56% of the Common Shares on a partially-diluted basis. Mr. Garcia advises that his acquisition of the Common Shares and Options are for investment purposes only. He has no current intention to dispose of any securities of the Company and may acquire additional securities in the future.
