GRANTING OF STOCK OPTIONS

Agau Resources Inc. proposes to issue 100,000 stock options to an officer of the corporation. The stock options will have an exercise price of 21 cents per share and will expire five years from the date of grant. The proposed issuance of stock options is subject to final regulatory acceptance.
