Tucows Inc. has made an offer dated Aug. 20, 2009, to purchase up to five million of its common shares
at a purchase price not in excess of 60 U.S. cents per share
nor less than 40 U.S. cents per share in cash. The offer will expire at 5
p.m. on Sept. 18, 2009, unless extended.
The offeror reserves the right to withdraw the offer, and not take up
and pay for any shares deposited under the offer unless a number of
conditions set out in Section 7 of the offer are satisfied. The offer is
not conditional upon any minimum number of shares being tendered.
Shareholders desiring to tender shares may specify the price or
prices, not greater than 60 U.S. cents per share nor less than 40 US. cents per
share, at which they are willing to sell their shares. Prices may be
specified in increments of one U.S. cent. Alternatively, shareholders
desiring to tender shares can choose not to specify a price and,
instead, specify that they will sell their shares at the purchase price
selected by the offeror for shares properly tendered to the offer. This
election could result in the tendering shareholder receiving a price per
share as low as 40 U.S. cents.
