Mr. Larry Goldberg of Pinetree reports PINETREE CAPITAL LTD. ACQUIRES SECURITIES OF HALO RESOURCES LTD.
On Nov. 6, 2009, Pinetree Capital Ltd. acquired ownership of two million common shares of Halo Resources Ltd. and two million common share purchase warrants. Each warrant entitles the holder to purchase one additional common share at a price of 7.5 cents per share until Nov. 6, 2010, and thereafter at a price of 10 cents per share until Nov. 6, 2011. In the event that the warrants are fully exercised, these holdings represent approximately 2.8 per cent of the total issued and outstanding common shares of Halo as of Nov. 6, 2009, calculated on a partially diluted basis assuming the exercise of the warrants only. As a result of this transaction, Pinetree held, as at Nov. 6, 2009, an aggregate of 8.5 million common shares of Halo, including the common shares and rights to acquire an additional 6.35 million common shares of Halo upon the exercise of convertible securities, including the warrants. In the event that the convertible securities are fully exercised, the holdings of Pinetree represents a total of 14.85 million common shares of Halo, or approximately 10.1 per cent of all issued and outstanding common shares as at Nov. 6, 2009, calculated on a partially diluted basis assuming the exercise of the convertible securities only.
