Mr. Larry Goldberg of Pinetree Capital reports PINETREE CAPITAL LTD. ACQUIRES SECURITIES OF OUTLOOK RESOURCES LTD.
Pinetree Capital Ltd., on Nov. 3, 2009, acquired ownership of 7.5 million common shares and 7.5 million common share purchase warrants of Outlook Resources Ltd. Each warrant entitles the holder thereof to acquire one additional common share at a price of five cents until Oct. 30, 2010, and at a price of 10 cents from Oct. 30, 2010, until Oct. 30, 2011. In the event that the warrants are fully exercised, these holdings represent approximately 8.6 per cent of the total issued and outstanding common shares of Outlook as of Nov. 3, 2009, calculated on a partially diluted basis, assuming the exercise of the warrants only. As a result of this transaction, Pinetree and its joint actors collectively held, as at Nov. 3, 2009, a total of 17.5 million common shares of Outlook, including the common shares and rights to acquire an additional 17.5 million common shares of Outlook upon exercise of certain convertible securities, including the warrants. Of these totals, Pinetree owns only the common shares and the warrants directly. In the event that the convertible securities are fully exercised, the holdings of Pinetree and its joint actors represent a total of 35 million common shares of Outlook, or approximately 19.0 per cent of all issued and outstanding common shares as at Nov. 3, 2009, calculated on a partially diluted basis, assuming the exercise of the convertible securities only.
