Mr. Larry Goldberg of Pinetree reports PINETREE CAPITAL LTD. ACQUIRES SECURITIES OF MADISON MINERALS INC.
On Nov. 2, 2009, Pinetree Capital Ltd. acquired ownership of one million common shares of Madison Minerals Inc. and 500,000 common share purchase warrants. Each warrant entitles the holder to purchase one additional common share at a price of 25 cents per share until Oct. 29, 2010. In the event that the warrants are fully exercised, these holdings represent approximately 4.0 per cent of the total issued and outstanding common shares of Madison as of Nov. 2, 2009, calculated on a partially diluted basis assuming the exercise of the warrants only. As a result of this transaction, Pinetree held, as at Nov. 2, 2009, a total of 3.95 million common shares of Madison, including the common shares and rights to acquire an additional 500,000 common shares of Madison upon the exercise of convertible securities, including the warrants. In the event that the convertible securities are fully exercised, the holdings of Pinetree represent a total of 4.45 million common shares of Madison, or approximately 11.7 per cent of all issued and outstanding common shares as at Nov. 2, 2009, calculated on a partially diluted basis assuming the exercise of the convertible securities only.
