The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement closed on Dec. 13, 2019.

Number of shares:  two million common shares

Purchase price:  50 cents per share

Warrants:  one million share purchase warrants to purchase one million shares

Warrant exercise price:  65 cents for a two-year period

Number of placees:  one placee

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
