The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 23, 2018, Sept. 20, 2018, and April 22, 2019.

Convertible debenture:  $750,000 (U.S.) principal amount

Conversion price:  convertible into shares at eight Canadian cents of principal amount outstanding per share in the first year and at 10 cents thereafter until maturity

Maturity date:  two years from issuance

Interest rate:  12-month U.S.-dollar Libor (London interbank offered rate) plus 10 per cent per annum

Number of placees:  one placee
