The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 8, 2020.

Convertible debenture:  $1-million

Conversion price:  convertible into four million units, with each unit consisting of one common share and 0.75 common share purchase warrant

Maturity date:  Dec. 8, 2022

Warrants:  Each full warrant will expire Dec. 8, 2022, and entitle the holder to purchase one common share. The warrants are exercisable at the price of 20 cents.

Interest rate:  8 per cent per annum

Number of placees:  one placee
