PISTOL BAY ANNOUNCES CHANGE TO AGM MEETING PROCESS

Due to continuing concerns regarding COVID-19 and to mitigate risks to the health and safety of communities, shareholders and stakeholders, Pistol Bay Mining Inc. will set up a conference line, allowing shareholders to call into its annual general meeting of the company, to be held at Suite 700, 838 West Hastings St., Vancouver, B.C., V6C 0A6.

Given the restrictions on public gatherings and in the best interest of the health of all participants in the company's meeting, the company respectfully asks that all shareholders do not attend the meeting in person. Those people wishing to participate in the meeting are encouraged to contact the company at pistolbaymining@gmail.com in advance (and by 10 a.m. on April 22, 2020, which is also the proxy cut-off time) so the company can provide them with the relevant instructions to listen to the meeting by teleconference.

While in-person attendance at the meeting will remain open through the teleconference, shareholders are strongly recommended to vote by proxy or VIF (voting instruction form) in advance to ease the voting tabulation at the meeting by Computershare Investor Services Inc. Shareholders are reminded that there are a number of other voting methods available to them, including:

• On the Internet by going to the Investor Vote website and casting your vote on-line;
• By smart phone using the QR code contained in the company's proxy form, which has been made available on SEDAR;
• By mail, fax or e-mail by completing and returning a signed proxy or VIF using the instructions provided in the company's proxy or VIF and as described in detail in the information circular, as filed on SEDAR on March 30, 2020.

The company apologizes for any inconvenience this may cause, but the health and safety of the company's staff, shareholders and the general public are of paramount importance. Shareholders are reminded to cast their votes by the proxy cut-off time of April 22, 2020, at 10 a.m.
