The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 1, 2020.

Number of shares:  2.5 million shares

Purchase price:  20 cents per share

Warrants:  1.25 million share purchase warrants to purchase 1.25 million shares

Warrant initial exercise price:  50 cents

Warrant term to expiry:  other

Number of placees:  one placee

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
