The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Nov. 27, 2019.

Number of flow-through (FT) shares:  1.04 million flow-through shares

Purchase price:  25 cents per flow-through share

Number of placees:  four placees

Total pro group:  400,000 (one placee)

Finder's fee:  Echelon Wealth Partners Inc., $15,000 cash and 60,000 warrants (The finder's warrants will be exercisable into one common share at 25 cents for a period of one year.)

Finder's warrant initial exercise price:  25 cents

Finder's warrant term to expiry:  one year
