AMENDED PRIVATE PLACEMENT

Meridius Resources Ltd. has amended the unit pricing of the private placement announced by news release on July 6, 2020. The private placement will now consist of 12 million units at 7.5 cents per unit. Each unit will consist of a common share and half a warrant to purchase an additional common share at 15 cents per share exercisable for one year. Proceeds of $900,000 will be used for working capital, including financing due diligence and transaction costs for future acquisitions. The company intends to review potential opportunities in the mining exploration sector, primarily in Canada.
