The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 29, 2020.

Number of shares:  14.2 million shares

Purchase price:  five cents per share

Warrants:  7.1 million share purchase warrants to purchase 7.1 million shares

Warrant initial exercise price:  7.5 cents

Warrant term to expiry:  three years

Number of placees:  46 placees

Finders' fees:  Canaccord Genuity Corp., $7,240 cash and 144,800 warrants; PI Financial Corp., $20,480 cash and 409,600 warrants

Finder's warrant initial exercise price:  7.5 cents

Finder's warrant term to expiry:  Each warrant is exercisable into a share for a period of three years from closing.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
