Andrew Elbaz and Michael Silver have filed a preliminary prospectus to list their first capital pool shell,
VLCTY Capital Inc. It plans to sell a
$300,000 initial public offering at 10 cents through Leede Jones Gable Inc.
Mr. Elbaz, 43, is a lawyer in Toronto. He is the chief executive officer, the secretary and a director of the shell. Since 2016, he has been a partner at Minden Gross
LLP, where he has helped raise money for mining, tech, cannabis and life science issuers including Assure Holdings Corp. (IOM: $1.19), a provider of neuromonitoring services for surgeries. Mr. Elbaz and his group at Minden Gross sold $2.62-million (U.S.) worth of debentures for Assure Holdings in April. Before joining Minden Gross, Mr. Elbaz spent 2-1/2 years as a partner at Dentons Canada LLP, 3-1/2 years as a lawyer at Heenan Blaikie LLP and three years as an associate at Fraser Milner Casgrain LLP.
