THE REQUISITIONING SHAREHOLDER OF DEEPROCK MINERALS INC. ANNOUNCES THAT THEY HAVE CALLED A SPECIAL GENERAL MEETING OF THE SHAREHOLDERS
Yeshivas Limudei Hashem Society (the requisitioning shareholder), representing in excess of 5 per cent of the issued and outstanding shares of Deeprock Minerals Inc., has called a special meeting of shareholders pursuant to Section 167 of the Business Corporations Act (British Columbia) to be held Sept. 3, 2020.
On June 10, 2020, the requisitioning shareholder sent a requisition for a shareholders meeting of the company. The directors of the company have not, within 21 days after the date on which the requisition was received by the company, sent notice of a general meeting to each shareholder and each director. Accordingly, the notice of meeting and record date have been given by the requisitioning shareholder, on behalf of the company, pursuant to Section 167(8) of the Business Corporations Act (British Columbia).
The special meeting of Deeprock's shareholders is being called to consider the approval of a special resolution to remove Richard Shatto, Matthew Reams and Pat O'Brien as directors of the company and to elect, in their stead, Binyomin Posen, Hillel Posen and Jack Wortzman.
The meeting is required as the board of Deeprock has refused requests from requisitioning shareholder to add a nominee to the board and has continued to ignore communications and proposals from the requisitioning shareholder.
