PRIVATE PLACEMENT UPSIZED

Due to strong demand, Silver Grail Resources Ltd. intends to upsize the non-brokered private placement announced by way of a news release on Oct. 2, 2025, to five million units at a price of 23 cents per unit for gross proceeds of up to $1.15-million, subject to the approval of the TSX Venture Exchange. Each unit will consist of one common share and a common share purchase warrant; each warrant is exercisable into one common share at a price of 33 cents for a period of two years from closing.

There are no finders' fees or other commissions associated with the transaction. All securities issued in connection with the upsized offering will be subject to a four-month hold period from the date of closing.

The proceeds of the financing will be used to pay for 2025 exploration of the Ram property as well as further exploration of the company's other mineral properties in the Golden Triangle and also for general corporate purposes

It is anticipated that certain insiders of the company will participate in the upsized offering. The participation of any insiders may be considered a related party transaction within the meaning of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. Such insider participation will be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 pursuant to sections 5.5(a), 5.5(b) and 5.7(1)(a) of MI 61-101 as the company is not listed on any of the specified exchanges or markets outlined in Subsection 5.5(b) of MI 61-101 and the fair market value of the securities to be distributed to the insiders will not exceed 25 per cent of the company's market capitalization.
