RECOMMENDS G2 GOLDFIELDS' SHAREHOLDERS VOTE FOR THE
ARRANGEMENT WITH G MINING
TORONTO, June 9, 2026 G2 Goldfields Inc. ("G2" or the "Company") (TSX:GTWO; OTCQX:GUYGF) is
pleased to announce that Glass Lewis & Co., LLC ("Glass Lewis"), a leading independent proxy advisory
firm, has recommended that G2 shareholders vote "FOR" the plan of arrangement (the "Arrangement")
with G Mining Ventures Corp. ("GMIN") to be approved at the upcoming special meeting of shareholders
(the "Meeting") to be held on Tuesday June 16, 2026 at 10:00 a.m. (Toronto Time). As announced by the
Company on June 4, 2026, Institutional Shareholder Services Inc. (ISS) has made the same
recommendation.
Glass Lewis commented that "the proposed transaction is the result of a lengthy and robust strategic
review process commenced in June 2023" and that "the implied value of the consideration represents a
substantial premium over the Company's unaffected stock price and also represents a fifteen-year high
for the Company's shares".
Board Recommendation
The board of directors of the Company (the "Board") unanimously recommends that the G2 shareholders
vote FOR the Arrangement. The Board also unanimously recommends that the G2 shareholders vote FOR
all resolutions pertaining to the spin-out of G3 Goldfields Inc.
