Glass Lewis & Co. LLC, a leading independent proxy advisory
firm, has recommended that G2 Goldfields Inc. shareholders vote for the plan of arrangement
with G Mining Ventures Corp. to be approved at the coming special meeting of shareholders to be held on Tuesday, June 16, 2026, at 10 a.m. Toronto time. As announced by the company on June 4, 2026, Institutional Shareholder Services Inc. has made the same
recommendation.
Glass Lewis commented, "The proposed transaction is the result of a lengthy and robust strategic
review process commenced in June, 2023," and "the implied value of the consideration represents a
substantial premium over the company's unaffected stock price and also represents a 15-year high
for the company's shares."
Board recommendation
The board of directors of the company unanimously recommends that the G2 shareholders
vote for the arrangement. The board also unanimously recommends that the G2 shareholders vote for
all resolutions pertaining to the spinout of G3 Goldfields Inc.

G2 shareholders are encouraged to read the management information circular of the company dated
May 12, 2026, and vote your G2 shares as soon as possible, in accordance with the
