Number of shares:  2.7 million shares

Purchase price:  five cents per share

Warrants:  2.7 million share purchase warrants to purchase 2.7 million shares

Warrant exercise price:  five cents for a five-year period

Placee:  one

Finder's fee:  $10,800, plus 216,000 compensation options, each exercisable into one common share at a price of five cents for a period of two years, payable to Maison Placements Canada Inc.
