Purchase price:  two cents per share

Warrants:  7.5 million share purchase warrants to purchase 7.5 million shares

Warrant exercise price:  five cents for a two-year period

Placees:  25

Pro group participation:  590,000 (two placees)

Finders' fees:  $10,880 and 544,000 finder's warrants payable to Canaccord Genuity Corp.; $1,520 and 76,000 finder's warrants payable to Haywood Securities Inc.; $2,000 and 100,000 finder's warrants payable to Fin-XO Securities Inc.
