Mr. John Brydle reports

Whistler Gold Exploration Inc. has agreed to settle $1,154,879 of debt through the issuance of 23,097,569 shares at a deemed price of five cents per share.

The issuance of shares in settlement of debt and the company's previously announced financings are subject to TSX Venture Exchange acceptance for filing and any required shareholder approval.
