The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 23, 2014.

Number of shares:  Two million shares

Purchase price:  30 cents per share

Warrants:  Two million share purchase warrants to purchase two million shares

Warrant exercise price:  45 cents for a two-year period (If the volume weighted average trading price is at 55 cents or higher for 20 consecutive trading days at any time after four months and one day after closing, the company may, upon giving notice to the warrantholder, shorten the expiry date of the warrants to 30 days from the date of notice.)
