The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 26, 2015, and Nov. 17, 2015.

Convertible debenture:  $163,364

Conversion price:  convertible into units consisting of one common share and one-half common share purchase warrant

Maturity date:  Nov. 10, 2016

Warrants:  Each full warrant will have a term of three years from the date of issuance of the notes and entitle the holder to purchase one common share. The warrants are exercisable at the price of 15 cents.

Interest rate:  12 per cent per year, compounded monthly

Number of placees:  six placees

Insider:  the Fleming Family Trust (Michele Fleming), $7,500 convertible note
