The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement for Uragold Bay Resources Inc.

Number of shares:  3,333,333 common shares

Purchase price:  six cents per common share

Warrants:  3,333,333 warrants to purchase a maximum of 3,333,333 common shares

Warrant exercise price:  10 cents per share for a period of 24 months following the closing of the private placement

Placees:  five

The company has confirmed the closing of the above-mentioned private placement by way of a press release dated July 25, 2014.
