SHAREHOLDER EARLY WARNING NEWS RELEASE

Leslie E. Maerov advises that on Dec. 17, 2015, he acquired 250,000 units of Urban Communications Inc. at a purchase price of 10 cents per unit. Each unit is composed of one common share and one share purchase warrant, and each warrant entitles the holder to purchase one warrant share for 20 cents.

Mr. Maerov now owns 12.43 per cent of the issued and outstanding shares in the capital of Urban Communications, and together with securities convertible into voting shares, Mr. Maerov's fully diluted holdings represent 14.59 per cent of the issued and outstanding shares in the capital of Urban Communications.

Mr. Maerov's holdings in Urban Communications are for investment purposes. He may increase or decrease his investments in Urban Communications depending on market conditions or any other relevant factors. A copy of the early warning report with respect to the transaction has been filed with the TSX Venture Exchange, the Alberta Securities Commission and the B.C. Securities Commission and is available on SEDAR.
