TSODILO RESOURCES LIMITED ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OF UNITS

Tsodilo Resources Ltd. has negotiated a non-brokered private placement of 10,795,578 units of the company at a price per unit of 75 cents, which will provide gross proceeds to the company in the amount of up to $8,096,683. Proceeds from the private placement will be used by Tsodilo for advancement of the BK16 kimberlite project in Botswana and for general corporate working capital.

Each unit will consist of one common share and one common share purchase warrant of the company, each such warrant entitling the holder to purchase an additional common share of the company for a period of two years from the date of closing at a price of 75 U.S. cents.

The common shares and the warrants comprising the units and the common shares underlying the warrants will be subject to a four-month hold period from the date of closing per applicable regulatory requirements.

In connection with the private placement, certain arm's-length parties may receive a cash finder's fee payment equal to 5 per cent of the gross proceeds of the units that are sold to subscribers introduced by such parties.

Directors of the company have subscribed for 1,931,140 units ($1,448,355) of the placement. Closing of the private placement remains subject to the approval of the TSX Venture Exchange.
