TORSTAR CORPORATION SPECIAL SHAREHOLDERS' MEETING

Torstar Corp. has received the approval of its Class A shareholders to proceed with the sale of Harlequin Enterprises Ltd. to 0999531 B.C. Ltd. or another subsidiary of HarperCollins Publishers LLC.

The transaction remains subject to certain customary approvals and closing conditions, including certain regulatory approvals. The parties continue to work toward satisfying these conditions and obtaining the necessary approvals.
