Number of shares:  1,447,222 shares

Purchase price:  45 cents per share

Warrants:  723,611 share purchase warrants to purchase 723,611 shares

Warrant exercise price:  56 cents for a two-year period

Number of placees:  24 placees

Finders' fees:  An aggregate of $31,590 in cash and 70,200 finders' warrants were payable to Canaccord Genuity Corp. and Industrial Alliance Securities Inc. Each finder's warrant entitles the holder to acquire one common share at 56 cents for a two-year period.
