SUNCOR ENERGY ANNOUNCES C$750 MILLION MEDIUM TERM NOTE OFFERING

Suncor Energy Inc. has agreed to issue $750-million of senior unsecured, medium-term notes, maturing on Nov. 26, 2021. The 2021 notes will have a coupon of 3.10 per cent and were priced at $99.663 per note to yield 3.154 per cent.

Suncor Energy intends to use the net proceeds from the sale of the 2021 notes to replenish existing cash balances following the recent repayment of outstanding indebtedness. Such net proceeds will subsequently be used to finance Suncor Energy's capital program and for general corporate purposes.

The 2021 notes will be issued under Suncor's short form base shelf prospectus dated June 11, 2014, and filed with securities regulatory authorities in Canada. The offering is expected to close on Nov. 26, 2014.

CIBC, RBC Capital Markets and TD Securities acted as joint bookrunners for the offering.
