The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 12, 2016, and March 3, 2017. The financing comprised common shares of the company at 30 cents per common share.

Number of common shares:  17,815,480 resulting issuer common shares

Purchase price:  30 cents per common share

Number of placees:  148 placees

Pro groups:  Stewart Vorberg, 100,000; Cary Pinkowski, 300,000; Julia Rachev, 30,000; Ian MacPherson, 65,000; Jennifer MacKenzie, 6,600

In connection with the private placement, the company paid cash finders' fees of $403,185 and issued finders' warrants to purchase 1,343,950 common shares exercisable at a price of 30 cents per common share for a period of 24 months from the date of closing of the private placement.

The company has confirmed the closing of the private placement via a press release dated April 24, 2017.
