The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement.

Number of shares:  8.88 million common shares

Purchase price:  five cents per common share

Warrants:  8.88 million warrants to purchase 8.88 million common shares

Warrants exercise price:  five cents during a period of 60 months following the closing date

Number of placees:  six placees

Finders' fees:  Finders collectively received $32,000 in cash and 640,000 common share purchase warrants at five cents for 60 months.
