The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Nov. 11, 2014.

Convertible debenture:  $595,000

Conversion price:  convertible into 3,966,666 units at 15 cents, with each unit consisting of one common share and one common share purchase warrant

Maturity date:  18 months from closing

Warrants:  Each warrant will have a term of 18 months from the maturity date and entitle the holder to purchase one common share. The warrants are exercisable at the price of 15 cents.

Interest rate:  15 per cent per year

Placees:  16

Finders' fees:  Canaccord Genuity -- $31,045 cash and 206,667 warrants; Navigator Capital Partners -- $3,750 cash and 25,000 warrants; Richardson GMP Securities -- $2,205 cash and 14,679 warrants; each warrant is exercisable into one common share at 15 cents for 18 months from closing
