The TSX Venture Exchange has accepted for filing documentation relating to a share purchase agreement dated Dec. 31, 2014, between the shareholders of Paradigm Consulting Group Inc. and Paradigm Consulting Services Partnership (the vendors), arm's-length parties, and Smart Employee Benefits Inc. Pursuant to the agreement, Smart Employee Benefits shall acquire all the issued and outstanding shares of the vendors, which provide management and information technology consulting services to health care, insurance, financial services, public sector, telecom and energy companies.

In consideration, the company shall pay $9,288,112 in cash, issue a $1,182,786 convertible note (bearing an interest rate of 3 per cent per year, maturing in three years and convertible into common shares at a price 50 cents per share), and issue 5,913,877 common shares and one million share purchase warrants (each exercisable into one common share at a price of 50 cents for a four-year period). In addition, the company may pay up to $2,365,572 over a four-year period based on certain performance measures.
