CANADIAN RESOURCES INCOME TRUST - REPORT OF VOTING RESULTS

At a special meeting of holders of trust units of Canadian Resources Income Trust held on March 6, 2015, at 8:30 a.m. (Toronto time), 40 King St. West, Toronto, Ont., unitholders approved a special resolution (as defined in the notice and information circular of the company dated Feb. 5, 2015) that will enable the trust to effect certain amendments to the declaration of trust of the trust to:

  • Extend the termination date of the trust for an additional five years to March 31, 2020;
  • Amend the investment strategy of the trust, such that the portfolio remains in line with the trust's investment objective of providing monthly distributions from a diversified portfolio of Canadian natural resource issuers by providing that the trust will invest in an initially equally weighted portfolio comprising the 20 highest-yielding natural resource issuers in the S&P/TSX 60 Index, establishing a covered call writing strategy on no more than 33 per cent of the portfolio, and reconstituting and rebalancing the portfolio annually;
  • Adopting new portfolio adjustment rules to determine the removal and inclusion of issuers from the portfolio;
  • Introducing a mandatory market repurchase program for the trust;
  • Creating a special retraction right, which would enable unitholders who do not wish to continue their investment to retract their units on March 31, 2015, on the same terms that would have applied had the trust redeemed all units on such date as originally contemplated;
  • Make certain other amendments consequential to the foregoing.

Computershare Investor Services Inc., the registrar and transfer agent of the trust, reported that a total of 396,141 units were voted in person or by proxy at the meeting, with approximately 99.69 per cent of such units voting for the special resolution.
