RSI COMPLETES PRIVATE PLACEMENT

RSI International Systems Inc. completed on Oct. 21, 2014, its private placement of 12-cent units announced Sept. 4, 2014, issuing 12,499,999 units for gross proceeds of $1.5-million. Each unit comprised one common share and one-half of a share purchase warrant, with a whole warrant entitling the holder to purchase an additional common share at a price of 25 cents for a period of two years. Subscriptions totalling $720,000 (six million units) have closed into escrow, for release upon receipt by the TSX Venture Exchange of supplemental filing documentation. No finder fees were paid in connection with the private placement. The securities issued in the private placement are subject to a four-month hold period expiring on Feb. 22, 2015.
