PRIVATE PLACEMENT

Rainmaker Resources Ltd. has arranged a $120,000 non-brokered postconsolidated private placement of 1.2 million units at a price of 10 cents per unit. Each unit will consist of one common share and one full warrant being exercisable to purchase one additional common share of Rainmaker at a price of 10 cents for a period of five years.

The placement is subject to TSX Venture Exchange approval.
