GLOBAL REMOTE TECHNOLOGIES ANNOUNCES FINANCING AND CORRECTION

Global Remote Technologies Ltd. intends to complete a private placement to raise up to $125,000 of up to 1.25 million units at a price of 10 cents per unit. Each unit will consist of one common share of the company and one common share purchase warrant. Each warrant shall entitle the holder to acquire one share at a price of 24 cents per warrant share for a period of two years.

All securities issued under the offering will be subject to a four-month hold period.

The company also wishes to rectify an administrative error in the number of common shares issued by the company to two of its shareholders on closing of the plan of arrangement on March 13, 2015, previously announced on March 16, 2015. On closing of the arrangement, the unit issuance to each of these two shareholders was short by 150,000 for a total of 300,000 units (comprising shares and warrants, with each warrant entitling the holder to purchase one common share at a price of 20 cents for 12 months). The two shareholders are not related parties to the company. The issued and outstanding common shares as disclosed in the final prospectus filed by the company on SEDAR on May 13, 2015, was short by these 300,000 units. The company's total issued and outstanding shares was disclosed as 30,747,658, and the number of shares reserved for issuance was disclosed as 12,109,657. The correct total number of issued and outstanding common shares of the company as of March 16, 2015, is 31,047,658 and those reserved for issuance 12,409,657. The company has updated this information on its Canadian Securities Exchange profile.
