ACQUISITION OF SHARES BY BTI INTERNATIONAL

Rock Tech Lithium Inc. shareholder BTI International, an arm's-length party to the company, has acquired, in a shares-for-debt transaction, 3,022,096 common shares of the company.

Prior to giving effect to the recent acquisition, the purchaser held 37,500 shares, representing 0.22 per cent of the issued and outstanding shares of the company. After giving effect to the acquisition, the purchaser holds 3,059,596 common shares, representing 15.47 per cent of the issued and outstanding shares of the company.

The shares were acquired through a shares-for-debt transaction and the purchaser may, from time to time, increase or decrease its ownership of the securities of the company through the market or otherwise, as circumstances or market conditions warrant.
