The TSX Venture Exchange has accepted for filing Quentin Ventures Ltd.'s reverse takeover and related transactions, all as principally described in its filing statement dated Nov. 30, 2015.

Pursuant to an amalgamation agreement, dated Jan. 19, 2015, as amended Aug. 25, 2015, Nov. 19, 2015, and May 3, 2016, among the company and Identillect Technologies Corp., a private company incorporated in British Columbia, Quentin issued 26,157,139 common shares to acquire 100 per cent of the issued capital of the private Identillect. In addition, the company issued five million preferred shares which will convert to an additional five million common shares if Identillect achieves revenue of $10-million for the fiscal year ending Dec. 31, 2016.

The exchange has been advised that the RTO and the related transactions have received approval from shareholders and have been completed.

Pursuant to a resolution passed by shareholders on Oct. 15, 2015, the company has changed its name as follows. There is no consolidation of capital.

Effective at the opening on Wednesday, May 25, 2016, the common shares of Identillect Technologies Corp. will commence trading on the TSX-V, and the common shares of Quentin Ventures will be delisted. The company is classified as a technology company.
