The TSX Venture Exchange has consented to the reduction in the exercise price and the extension of the following warrants.

Number of warrants:  2,142,857

Original expiry date of warrants:  Nov. 26, 2016

New expiry date of warrants:  Nov. 26, 2017

Original exercise price of warrants:  55 cents

New exercise price of warrants:  19.5 cents

Accelerated expiry provision:  If the closing price of the shares is 24.4 cents or more for a period of 10 consecutive trading days, then the warrantholders will have 30 days to exercise their warrants.

These warrants were issued pursuant to a private placement of 4,285,714 shares and 2,142,857 warrants, which was accepted for filing by the exchange effective Dec. 5, 2014. These warrants were subject to a first price reduction to 26 cents, which was accepted for filing by the exchange effective on Aug. 8, 2016.
