The TSX Venture Exchange has accepted for filing the company's proposal to issue 2,780,730 shares to settle outstanding debt of $139,036.50.

Insiders:  Jarilee Investments Ltd. (Richard Goldman), $29,420, 588,400 shares at five cents; James Macintosh, 1,260, 25,200 shares at five cents

The company shall issue a news release when the shares are issued and the debt extinguished.
